Invitation-Only Beta Evaluation Agreement

1. Eligibility and authority

You must be at least 18 years old and authorized to operate every listing, account, integration, and dataset you connect. You are responsible for obtaining any permissions required from property owners, managers, platforms, and data providers.

2. Evaluation access

Argo gives you a personal, limited, revocable, non-transferable right to evaluate BookBy during the private beta. You may not share your account or private connector, attempt to access another owner's workspace, resell the beta, or use it to violate law or a provider agreement.

Argo may change, suspend, or end the beta at any time. The beta has no service-level commitment, support guarantee, or promised availability.

3. Read-only starting authority

Your workspace starts in read-only shadow mode. BookBy may read authorized evidence, normalize history, produce analysis, and save BookBy receipts. It may not change an external price, rule, setting, reservation, message, or inventory unless you later grant separate, explicit authority for that capability.

Creating a connector, importing data, or accepting this agreement does not grant live write authority.

4. Your responsibility

You remain responsible for your property, listing, prices, availability, rules, taxes, licenses, guests, provider accounts, and business decisions. You must review BookBy's status and capability boundaries before relying on an output.

BookBy can be wrong. Market conditions, provider delays, cancellations, unavailable inventory, incomplete history, stale data, and software errors may make an analysis inaccurate or unsuitable.

5. No guarantees

Argo does not guarantee bookings, revenue, occupancy, profit, savings, ranking, price accuracy, market performance, data completeness, uninterrupted operation, or improvement over any other method. A booking after a recommendation does not prove that BookBy caused it.

6. Connected services

Wheelhouse, Claude, ChatGPT, property-management systems, booking channels, and other connected services are independent third parties. Their terms and privacy practices apply to your use of them. Argo is not responsible for their availability, decisions, errors, changes, or security.

7. Data and feedback

You give Argo permission to process the data you deliberately connect or upload only to provide, secure, evaluate, and improve your private BookBy workspace as described in the Privacy Notice.

Property-specific data is not contributed to another owner's decisions. If you separately opt in to general product learning, Argo may consider a lesson only after removing property, guest, reservation, credential, competitor, date-specific, and price-specific information.

If you submit feedback, you allow Argo to use the general idea to improve BookBy without payment or attribution. This does not transfer ownership of your property data.

8. Beta provided as is

To the fullest extent permitted by law, the beta is provided as is and as available, without warranties of merchantability, fitness for a particular purpose, noninfringement, accuracy, or reliability.

9. Limitation of liability

To the fullest extent permitted by law, Argo Innovation LLC and its members, officers, employees, contractors, and agents will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost bookings, revenue, profits, data, goodwill, or business opportunities arising from the beta.

To the fullest extent permitted by law, their total aggregate liability arising from the beta will not exceed one hundred U.S. dollars. Nothing in this agreement limits liability that cannot lawfully be limited.

10. Your claims and misuse

You are responsible for claims caused by data or accounts you were not authorized to provide, unlawful use of the beta, your violation of a provider agreement, or your intentional misuse of BookBy. To the extent permitted by law, you agree to defend and hold Argo harmless from third-party claims arising from that conduct.

11. Ending the evaluation

You may stop using BookBy at any time and may request disconnection, export, or deletion through the private portal or the invitation channel. Argo may end access if the beta ends, security is at risk, or this agreement is violated.

Terms that reasonably need to survive, including responsibility, disclaimers, liability limits, and dispute provisions, continue after the evaluation ends.

12. Governing law and changes

District of Columbia law governs this agreement, without regard to conflict-of-law rules. Any dispute not resolved informally will be brought in a court with jurisdiction in the District of Columbia.

If Argo materially changes these beta terms, BookBy will require acceptance of a new version before continued evaluation. This agreement is the complete beta evaluation agreement unless Argo and you sign a separate written agreement.

13. Provider

BookBy is an experimental project operated by Argo Innovation LLC. Questions or requests may be submitted through the private BookBy feedback control or the email channel used for your invitation.
